I would guess (absent something in the announcement to the contrary) that Spivey had that in his employment contract in anticipation of a buyout from some outfit other than MRVC, should the acquirer not want him or vice versa. That would be SOP; he might have had other job options open to him that he forewent to join LMNE or certain representations were made to him that it made it worthwhile to take on the role vs doing something else.

If that's the case there's nothing actionable there, IMHO
