Last year's DEF 14A Proxy Statement (6-10-96) listed following share ownership among the officers: Samuel M. Simpson 1239877 shares 13.70% outstanding; William H. Rutter 723732 shares 8.23%; James P. McCloskey 100000 shares 1.13%; Myron D. Stadler 50000 shares 0.57%. This was based on 8748658 shares and exercisable options. Basis this information, it would appear that Triarc has Simpson's and Rutter's shares locked up. If that's not so and someone else has pledged 20% of the stock, then the acquisition will be hard to stop because no indication that management opposes this. sec.gov Institutions are reported to hold only 0.43% ownership so they aren't going to be a factor in the voting.
