Alliance Semiconductor to Acquire PulseCore, Inc.


SANTA CLARA, Calif.--(BUSINESS WIRE)--Oct. 29, 2001--Alliance Semiconductor Corporation (Nasdaq:ALSC) today announced that is has agreed upon terms for the acquisition of PulseCore, Inc. PulseCore is a fables semiconductor company specializing in high speed and low power mixed signal designs. PulseCore currently provides electromagnetic interference (EMI) suppression integrated circuits to manufacturers of computer peripherals and digital consumer products. The expected acquisition cost is approximately $5 million.

After completing the necessary due diligence, the parties expect to complete the acquisition within 60 days. Upon close of the acquisition, the Company intends to operate PulseCore as a separate logic products division within Alliance.

Alliance Chairman, President and CEO, N.D. Reddy said, "The addition of PulseCore's products and technology is a key step toward Alliance's goal of expansion beyond our core memory business. The PulseCore team will add to our engineering resources and complement our products currently under development. I am very excited about future product possibilities in the mixed signal area."

"By combining the power of PulseCore's family of EMI suppression integrated circuits (ICs) with its proprietary EMC simulation tool, EMI-lator(TM), PulseCore has virtually eliminated the trial and error approach of conventional EMI management and enabled the manufacturers of electronic systems to reduce product costs and overall time to market." Mr. Reddy concluded, "PulseCore is a foundation of our newly formed logic products division to focus on high volume opportunities in diverse market segments."

PulseCore President/CEO, Narendar Venugopal, who will become the general manager of the logic products division commented, "We are delighted to join the Alliance team. I believe our products are a logical addition to Alliance's product line, and will be well received by current and future customers of both companies." Mr. Venugopal added, "PulseCore will accelerate its new product developments by utilizing Alliance's India design center, Alliance's access to technology and IP cores, and its strong balance sheet."
