ORIGIN ENTERS INTO A BINDING LETTER OF INTENT TO ACQUIRE INTERNATIONAL WIRELESS, INC.
Santa Monica, CA (October 31, 2001) – Origin Investment Group, Inc.,
(OTC-BB: OGNI) origininternational.com announced today that it has entered into a letter of intent to acquire one hundred percent of the issued and outstanding stock of International Wireless, Inc., a Woburn, Massachusetts based technology holding company founded by Stanley A. Young. Mr. Young is an accomplished entrepreneur and venture capitalist who over the past 40 years has acted as founder, financier, and director of many successful public companies in a variety of industries including computer software, consumer products, and plastics and manufacturing.
International Wireless is building a company focused on innovative technologies that provide security solutions and encrypted information access and delivery across wireless networks for governments, global enterprise and consumers. The company’s proprietary solutions deploy technology that substantially improves the ability for mobile devices to provide security and verification, mobile commerce, information and content. The company also integrates information in digital and printed form for global organizations and government agencies by making every document, in any form, part of a secure, encrypted, digital information infrastructure, through highly advanced searching and indexing capabilities.
Mr. Young has founded or seed funded, many leading edge technology companies over the years including but not limited to Parametric Technology, Jet Form, Standard MEMS, Andyne Computing, SEEC, and TeleHubLink Corporation. In 1986 Mr. Young took Nutmeg Corporation public which was distinguished by Dow Jones as the 2nd best NYSE firm one year. Nutmeg was the 6th best IPO of 1986 beating out Microsoft that same year.
Origin has entered into a binding letter of intent whereby current shareholders of International Wireless, Inc. will exchange their shares for common shares of Origin Investment Group, Inc, subject to shareholder approval on electing out of business development company status, and a 9 for 1 reverse split of its issued and outstanding stock. Upon completion of the acquisition Origin and International Wireless will merge, leaving Origin as the surviving company. Origin intends on immediately changing its name to International Wireless, Inc., and apply for a new symbol. It is expected that the transaction will close on or about December 10, 2001.
Origin Investment Group is a publicly traded business development company that is involved in investing in, in whole or in part, IT related businesses with a focus on companies which build the internet infrastructure.
