Acktion has agreed, subject to a favourable recommendation from the board of directors of Goldlist Properties Inc., to make an offer to acquire all of the outstanding common shares of Goldlist that Acktion does not own at an offer price of $14.50 per share, consisting of $7.25 in cash and a four-year $7.25 promissory note of Acktion with a 6-per-cent annual interest rate payable semi-annually. Acktion currently holds indirectly 6,663,367 common shares representing approximately 68.4 per cent of the outstanding Goldlist shares.
Goldlist Investments Inc., the holding company for the George Goldlist family, holding 2,432,305 common shares representing approximately 25 per cent of the outstanding Goldlist shares, has agreed to enter into an irrevocable lock-up agreement to support the Acktion takeover bid.
Acktion expects to mail its takeover bid circular later this month.
