(NYSE: VAS - news) today became an independent public company with the distribution by Thermo Electron Corporation (NYSE: TMO - news) of all its Viasys Healthcare shares as a tax-free dividend to Thermo Electron shareholders of record on November 7, 2001. The distribution took place at 4 p.m. today. Thermo Electron distributed .1461 shares of Viasys Healthcare common stock for each share of Thermo Electron common stock outstanding as of the record date. ..."

Viasys shares were distributed at the close on November 15 to TMO shareholders of record on November 7. Exactly what is the meaning and practical effect of the record date? A purchaser of TMO shares on November 10 would not be a shareholder of record, but apparently would receive the distribution. Is this correct and does the same thing apply to ordinary cash dividends?

PS - I note that my Schwab account has received a cash dividend on the distribution date for a stock I sold the day after the record date entirely by coincidence. Maybe it will be removed later?
