American Power Conversion Expands its Innovative Broadband Power Offering with Acquisition of Networking Power Products from ARRIS
APC Brings Power Electronics Design, Manufacturing and Support Expertise to Networking Power Product Lines

WEST KINGSTON, R.I., Nov. 26 /PRNewswire/ -- Adding to its innovative power and power back-up products for the broadband cable market, American Power Conversion (Nasdaq: APCC - news; APC) announced today that it has acquired select outside plant, networking power product lines from ARRIS Group Inc. (Nasdaq: ARRS - news) for $10.25 million. These strategic product lines expand APC's broadband solution set where the products are essential links to ensuring the high availability of enhanced voice, video and data applications being implemented over broadband cable networks worldwide.

APC is acquiring select product lines from ARRIS' EnergyLink(TM) family of power supplies, enclosures and equipment for network broadband power, including the unique TSP(TM) (Total System Power) line. The products are designed for outdoor use, commonly installed on utility poles or adjacent to fiber nodes, and provide back-up power for broadband cable applications. Additionally, for a period of three years, ARRIS' global sales force will serve as an authorized manufacturer's representative for the acquired product lines.

``APC has been actively building an industry-leading technology portfolio for communications application, leveraging our established leadership in the power electronics marketplace,'' explained Rodger B. Dowdell, Jr., APC's president and CEO. ``To shore up a broad product suite for an array of communications platforms and enhance our extensive offering of uninterruptible power supplies (UPS), we acquired a manufacturer of DC rectifier and power systems in April 2000. Field proven with differentiated and industry-leading features, today's addition of outside plant, networking power products is a strong complement to our existing broadband power offering. These product lines allow us to deliver the industry's most comprehensive end-to-end broadband offering while capitalizing on our existing selling, marketing, manufacturing and engineering efforts for this customer base.''

Specifically, this acquisition enables APC to offer comprehensive, end-to- end power solutions to global broadband markets. Beginning at the Cable Headend, APC provides power availability solutions including Silcon® three- phase UPSs and DC-power systems. The addition of outside plant, networking power products adds power availability solutions for the fiber node and critical points along the path to the end user. These solutions include pole, wall and ground-mounted outdoor systems for power and back-up power distributed over cables lines. Finally, when broadband services reach the home or small business and network power isn't in place along the path, PowerShield(TM) serves both as the back-up power and power supply for customer premise equipment (CPE) requiring local power. All of these offerings position broadband applications to withstand power disruptions and outages and are designed to provide lengthy runtime to support primary communications, including emergency 911 phone calls.

``We are delighted to have APC assume ownership of our networking power lines,'' said Bob Stanzione, ARRIS president and CEO. ``APC brings global expertise in power solution design, manufacturing and support. The company is in an ideal position to not only service this business and its customers, but to add innovation and value to the broadband cable power market. In support of this, we will offer these solutions to our global customer base, helping to provide uninterrupted product availability and a comprehensive broadband offering.''
