That's not the way I read it, but maybe I have to go back and take another look. I thought that the idea was to get shareholder approval in advance of future transactions, so that the process will not be delayed by having to seek shareholder approval during the financing. Also, why would Manchester have a right of first refusal on shares that have already been sold? I got the feeling that these measures were necessary since NHC is already up against the limits set by the TSE regarding the number of shares that a publicly traded company can issue in private placements without seeking advance shareholder approval.
