re: [from your link - definition of Goodwill] In accounting, the amount you pay for a company you are acquiring in excess of the fair market value of the company's assets less liabilities assumed. This applies only when a company is acquired under the purchase method of consolidation. The goodwill is an intangible asset on your balance sheet and will be amortized over its estimated useful life, but not over more than 40 years.

I like this definition better than the one I used. can you remind me what the point of this argument was again?
