Emcore Amends VCSEL Arrangement with
JDSU to "Customer-Vendor" Relationship

October 16, 2001...Emcore Corporation of Somerset, New
Jersey USA has made yet another important strategic move in
the vertical direction toward a direct assumption from JDS
Uniphase of the sales and marketing of Emcore prestigious line
of 12 X 1.25Gbps fiberoptic transmitter and receiver modules
and their own VSR OC-192 transponder modules. To enable
EMCORE to directly market and sell its own branded products,
JDSU and Emcore have agreed to amend their Joint
Development, Manufacturing and Marketing Agreement.
Under the terms of the amendment, "JDS Uniphase will provide
transition marketing and sales services to Emcore. JDS
Uniphase also will designate Emcore the primary vendor of
VCSEL products for JDS Uniphase's VCSEL-based optical
products and will, subject to certain terms and conditions,
enter into a supply agreement with Emcore." This amendment
essentially has the effect of changing the current JDS
Uniphase-Emcore relationship from a distributorship
arrangement to a customer-vendor relationship. Both
companies believe that the change will better achieve their
respective economic objectives. With the assumption of direct
responsibility for this key product line, which Emcore has been
producing for JDSU for some time, comes the expertise to make
it a successful direct venture through the appointment of Matt
Louis as Emcore's new Director of Sales and Marketing for
Emcore's Fiberoptic Division. Prior to moving to the Emcore
team, Matt was Business Development and Strategic
Marketing Manager for JDS Uniphase. While at JDS Uniphase,
Matt was responsible for the overall marketing and sales
efforts of Emcore's products as well as JDS Uniphase's other
high speed optical products. Matt has also held key positions
in sales and marketing of broadband fiber optic products with
Ortel Corporation and with Westinghouse Electric Corp.
