The more interesting question relates to the 195,000 options that SA and SB want. These are to replace the compensation options issued in May of 2000. They have various performance criteria that needed to be met to issue the shares. The circular indicates a nmber of times that the company does not believe that the performance targets will be met by the May 2002 deadline.

Question, what level of sales etc were built into the targets?

If the shares were really to get to the target levels, why should they be re-issued if the targets were not met? I don't know if 2 kicks at the can are fair. It does seem that the number has been reduced by 10%. That is, down from 218,000 to 195,000.
