Hewlett Heir Officially Launches Anti-Merger Proxy Fight

The son of one of Hewlett-Packard's co-founders officially mounted a campaign to oppose the proposed merger of HP and Compaq Computer by filing an amendment to his Securities and Exchange Commission proxy statement filed earlier this month.

Papers filed with the SEC on Thursday said in part, "Walter B. Hewlett plans to file a proxy statement with the Securities and Exchange Commission relating to a solicitation of proxies from the stockholders of Hewlett-Packard Company in connection with a meeting of stockholders of Hewlett-Packard to be held for the purpose of voting on various matters relating to the possible merger transaction involving Hewlett-Packard and Compaq Computer Corporation."

Hewlett had already voiced his opposition to the merger in public statements and in a previous SEC filing on Nov. 14. At the time of the first SEC filing, a spokesman for Hewlett indicated that he had not decided whether to solicit votes in opposition to the proposed merger.

Hewlett could not be reached for comment.
