I think you miss the point. The money raised comes from selling all the assets of the company. Once that's done there is no business left.

I guess I am a little confused and you can straighten me out. If ATT bought the assets of ATHM why can't ATT just keep running ATHM since ATT is now the owner? As far as C&C is concerned, ATT simply writes a new contract.

Seems to me it is like a restaurant that files for bankruptcy and somebody buys the restaruant. Everything can keep running. You just have new owners with no debt.
