"The moves by AT&T and Cox has caused more legal wrangling. Brian Lewis, an Excite@Home shareholder and lawyer, has filed a motion with the bankruptcy court seeking the asset sale to be blocked. Lewis argues that AT&T and Cox have breached agreements with Excite@Home by building their own networks.

The MDAs state that the companies shall not "conduct, participate in or have a material beneficial ownership interest in any business within the United States (a `Restricted Business') that involves (i) the provision of a residential Internet service over the cable television plant of the Principal Cable Stockholder at data transmission speeds greater than 128 Kbs and whose primary purpose is the provision to consumers of entertainment, information content, transactional services or electronic mail, chat and news groups (a `Consumer Purpose'), (ii) the connection by the Principal Cable Stockholder of its cable television plant directly or indirectly to any Internet backbone for a Consumer Purpose at data transmission speeds greater than 128 Kbs or (iii) the provision of an internet backbone service," according to Securities & Exchange Commission filings.

By admitting to customers that they have secondary networks ready to provide service in case of a total shutdown of Excite@Home's service, AT&T and Cox have seemingly confirmed that they have breached contracts."
