Telecommunications equipment maker Tellabs announced Friday that its acquisition
of closely-held optical equipment company Ocular Networks Inc. for about $355
million in cash will hurt its earnings in fiscal 2002 but will boost them in
fiscal 2003.

Tellabs expects the acquisition to hurt its fiscal 2002 per-share profit by 3
cents to 4 cents. However, the deal will fatten its full-year revenue by $50
million to $100 million, primarily in the later part of the year.

The company anticipates fiscal 2003 results to increase because of the deal, but
did not specify by how much.

First Call/Thomson Financial analysts had pegged Tellabs to earn 27 cents per
share in fiscal 2002, and 47 cents per share in fiscal 2003. The new guidance
puts the company's earnings for 2002 in the range of 23 cents to 24 cents per
share.
