At TS Telecom's meeting of shareholders to be held on Dec. 14, 2001, the
shareholders of the corporation will be asked to vote on the change of
auditor of the corporation from PricewaterhouseCoopers LLP to Mintz &
Partners LLP.
The corporation wishes to confirm that the former auditors have advised
there were no reportable events as defined in National Policy No. 31 of the
Canadian securities administrators.
The notice of change of auditor, letter from the former auditor, letter
from the successor auditor and a copy of the written confirmation that the
notice and letters have been reviewed by the audit committee and the board
of directors of the corporation will be made available to shareholders at
the meeting of shareholders.
