Only one member of either foundation is on the board. The others have no BOD representation. They weren't there because they're not allowed to be there.

Certainly it seems that they were "informed" up front. None of them deny that. But there's a difference between being "informed" and being "involved." I am sure they were the former. I am equally sure that their legal counsel would have prented them from making any statement to either support or oppose the deal at that point, because it would have clearly violated the "active participation" rules. Yeah, they knew it was happening. Doesn't mean they voted for it, or ever said they thought it was a good idea.

Walter Hewlett is a jerk, and should have been at the meetings.
