Red Dragon,

"The terms of the transaction include the issuance of approximately 200,000 shares of L&H Common Stock (valued at approximately $5 million)."

This is the only statement I was able to find which refers to the "terms of the transaction". From the wording , i.e "include", I am led to believe that there are other conditions of the transaction which have not been made public.
