Lee: You posit a compelling case for sweeping out the remaining 5/6
of EDVC shares with one brush stroke. The raison d'etre for releasing
shares on a scheduled basis has evaporated; the price of INCE has
already collapsed.

However, Mr. Neild may not see it that way. After all, if all EDVC
shares were converted to shares of INCE in August, as you recommend,
wouldn't this accelerated conversion also hasten the number of shares
of ITCO which will come to market at one time? Neild would, seemingly,
have no vested interest in this arrangement.

This naturally leads to the next questions: what influence, if any,
does Neild have on INCE? What, if any, financial leverage can he
bring to bear on INCE? Also, how many shares of INCE does
Neild still own? Does he own any EDVC?
