Corel Acquisition Update

On August 7, 2001, Corel Corporation announced that it had entered into an agreement to acquire SoftQuad in a stock-for-stock transaction. Corel and SoftQuad are currently awaiting regulatory clearance from the U.S. Securities and Exchange Commission (SEC) on the required filings, and now expect the acquisition to close prior to the end of Corel's fiscal 2002 first quarter, which ends February 28, 2002. Once the SEC has provided regulatory clearance, SoftQuad will distribute formal notification and proxies to all its shareholders. Approximately three weeks following the mailing of proxies, SoftQuad will host a special shareholders meeting to vote on the proposed transaction. In the meantime, representatives from both Corel and SoftQuad continue to work on the details of a comprehensive integration plan for the two companies. Details of the integration plan will be announced following the closing of the acquisition.
