While the bashers scream misery overload and would have us slit our wrists, the S3 dilution is dependent on the share price and may well be limited to under 2 million by the end of 2002.

In summary, Fonar and Drs. Glenn Muraca and Giovanni Marciano cut a deal whereby Fonar would settle a $3.6 million note, owed by Fonar for the HMCA purchase of A&A Services, with common stock. While 5 million shares have been earmarked in an escrow account for this payment, the total number shares paid out will depend on Fonar share price and volume selling limitations. The two Doctors have the right to sell shares at any time as long as the daily
volume doesn't exceed 20, 000 sh and the monthly volume doesn't exceed 66,666 sh per individual. I believe Fonar can agree to increase these limits at any time. After the $3.6 million debt has been satisfied, all remaining shares held in escrow will be returned back to Fonar.

The number of shares paid out is inversely proportional to the share price in the coming calander year. If the current levels stay stagnant or drop further, then we may see the whole 5 million shares as dilution but I strongly believe Fonar is betting on much higher prices by year's end. JMO
