Cypress has proposed a private placement of two million units comprising
1.5 million non-flow-through units and 500,000 flow-through units. The
non-flow-through units and the flow-through units are being offered at a
price of 10 cents per unit. Each non-flow-through unit will consist of one
non-flow through share and one share purchase warrant entitling the holder
to purchase an additional non-flow through share at a price of 10 cents for
a period of two years. Each flow-through unit will consist of one
flow-through share and one flow-through share purchase warrant entitling
the holder to purchase an additional flow-through share at a price 10 cents
for a period of two years.
