4.0 PAYMENT.

4.1 In consideration for the license granted hereunder, QUIDEL shall pay to BECTON the following:

(a) Within ten (10) days after the signing of this Agreement, a non-refundable license fee of two million dollars ($2,000,000), which fee shall not be a credit against any royalty obligations under paragraph 4.1(b); and

(b) On or subsequent to the EFFECTIVE DATE, a royalty at the rate of five and one-quarter percent (5 -1/4%) of the NET SALES of all PRODUCTS sold or OTHERWISE DISPOSED OF.
