NG, Re: < The very curious aspect of this deal apart from its being "private" is the implied haste with which this deal seems to be unfolding...almost as if something "out of the blue" requiring an immediate response has arisen...either an investor needs to place $500 million for 3 years immediately or an investment opportunity unexpectedly surfaced...>

To me this thing's got 'Joint Venture' written all over it.

<Jerry> ...And with the advent of a foundry, which Hector can comment on, which we will be bringing on that will add to units at the end of 2003, that is at the end of this year, I think we are in very good shape to gain share.

<Jonathan> Yeah Hector, just a clarification. What are the contractual limits that you may or may not have in agreements with Intel in regard to the amount of foundry that you can use for microprocessors?

<Jerry> I'm going to jump in on that one, since the lawyers have briefed me on exactly what to say. We see no limitations to our objectives in our relationship contractually with Intel.

<Jonathan> Ok, because I thought that there was a clause that like 20% of total units or something but maybe that doesn't exist.

<Jerry> That was a clause from a prior agreement, but even ignoring that clause, and I'm not saying that we would ignore a clause, but I'm just saying that we believe that based on our expectations and our arrangements, that there are no limitations which will keep us from achieving our objectives.
