Yep, the board of Enron sure looked after shareholders interests, didn't they? The boards are supposed to be independent of management so that they can provide their perspective. The practice has become to pack boards with people close to the company and sometimes give board members sweetened deals or participation in sister operations, spin-offs, etc. The checks and balances they are supposed to supply has weakened.
