I opted to to an Install rather than an upgrade for my older machine because I wanted the "clean slate" and reinstalling the apps that I was going to carry over wasn't a big deal.

Note that you definitely will not be able to carry over any system utilities such as antivirus programs, firewalls, etc. If you decide to upgrade you should uninstall these on the Win98 system prior to doing the XP upgrade. You can then install newer XP-compatible versions once the upgrade is complete.
