e.Digital Corp. Files Shelf Registration Statement
SAN DIEGO--(BUSINESS WIRE)--Feb. 6, 2002--e.Digital Corp. (OTCBB:EDIG - news), announced today that it has filed a Shelf Registration Statement with the Securities and Exchange Commission to offer, over time, up to 20 million shares of common stock.

The company indicated further that it intends to offer and sell the shares of common stock for its own account and to utilize the net proceeds of any such sales for possible acquisitions of synergistic companies and/or technologies, expansion of distribution channels for its consumer product line, expansion of its OEM and ODM business in the automotive telematics market, for repayment of debt, and for general working capital purposes.

This registration statement on Form S-3 relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time that the registration statement becomes effective.
