I wouldn't worry about the dilution too much since the merger will be accretive to earnings immediately. Even with the added shares I would estimate that earnings per share will not decline appreciably due to Tandem's increasing profitability. IMHO Tandem's earnings momentum is actually better than Compaq's since it is still near the bottom of its cycle.
