Erik,if you review the press release[below] you will note that as of march 6 DELL had options to buy back 10 million shares through September, 1997. Therefore, the actual outstanding weighted average shares, fully diluted, can vary between 174 and 184 million shares as of June 30 depending on the number of shares repurchased.

Historically, DELL has repurchased shares in each quarter. Therefore, it makes sense that they repurchased some shares since the last quarter. The actual number repurchased, however, is a big guess!

DELL ANNOUNCES INCREASE IN STOCK REPURCHASE PROGRAM
TO 50 MILLION SHARES

ROUND ROCK, Texas, March 6, 1997 -- Dell Computer Corporation (Nasdaq:DELL) announced today that its Board of Directors has authorized an 18 million share increase in its stock repurchase program,from 32 million shares to 50 million shares.

The amount of shares to be purchased and the timing of purchases of shares will be based on a number of factors, including the price of Dell's stock, the level of stock issuances under the employee stock
plans, and market conditions. To date the company has repurchased approximately 21 million shares under the program and has secured options to purchase an additional 10 million shares with exercise
dates through September 1997.
