Your legal intepretation of the patent is impressive but the reality may differ. The property, the carousel motor, remained in the physical possession of Galtech Corp after dissolution of ERC. I leave the legalities of the deal to the lawyers of each company.

Galtech in its last annual report stated plainly that it had basically consolidated operations and discontinued working the motor. Furthermore, and this is very important, you may not know that the motor being worked on before the consolidation was not the patented carousel. Porter tried his hand at the carousel after Ewing left the company but he never had a clue and screwed it up.

The status of the carousel was in nowheresville at the time magpwr came along. The motor that had been recently worked was not the patented carousel. There was absolutely no intention of doing anything with the carousel because there was nobody qualified at Galtech to do so and that included Mr. Porter when he was an employee.

The inventors listed on the patent in addition to Ewing are Chapman and Porter. Ewing (tech guy at Magpower) had left Galtech years ago and Porter resigned several months ago. Chapman is a major shareholder and still an integral part of Galtech. If the patent reverted to the inventors then, of the 3 inventors, Porter certainly missed the boat since he has no inside stake in either Magpower or Galtech.

In summary, Galtech shareholders got an excellent shake in the Magpower deal. At Galtech the carousel was no longer making music and in order for the merry-go-round to sart up again would have required an outside team of high caliber engineers. That was not an option. At Magpower the original inventor is involved again. At least there is a chance where there was none before.
