What ENRON did was not "technically legal". Check it out. They were committing outright fraud and laughing all the way to the bank. What's more is that they were trampling all over their fiduciary duty to shareholders and to employees. They just were able to get away with it, because they had a complicit legal and auditing firm behind their shenanigans, not to mentioned collusion at the highest executive levels.
