Transport Market Share

Alcatel Only Vendor to Consistently Grow Its Market Share Throughout the Year, Ranking It Number One
in the Fourth Quarter of 2001

DALLAS--(BUSINESS WIRE)--Feb. 22, 2002-- Alcatel (NYSE:ALA - news) today announced it has more than doubled its market
share in the optical transport market, composed of dense wave division multiplexing (DWDM) systems and Synchronous Digital
Hierarchy/Synchronous Optical Network (SDH/SONET) add-drop multiplexers, in 2001 according to Dell'Oro Group, a leading
telecom market research firm.

Alcatel was the only vendor to consistently increase market share throughout the year and consequently was ranked number one
in the fourth quarter of 2001, building on the success of its new-generation product offering.

According to the Dell'Oro Group report, Alcatel dominated the optical transport market in the fourth quarter of 2001 with 21.5
percent market share. This result represents a tremendous increase in the company's worldwide market share, compared with its 8.5
percent share in the fourth quarter of 2000.

In 2001, Alcatel delivered more than 30,000 units of Alcatel's SDH optical multi-service node family to 135 operators, mostly for
metropolitan network applications. Alcatel also expanded the customer-base of its SONET add-drop multiplexers into the U.S.
backbone network service provider and utility service provider markets. In addition, Alcatel installed its DWDM products in 70
customers' networks around the world for backbone and metropolitan core network applications.
