What is a majority in the merger vote? For HP it is a majority of votes cast with at least half the stock holders voting. For Compaq, a majority of stock holders need to vote for the merger. "Failure to vote or give voting instructions to your broker or nominee for Compaq special meeting will have the same effect as voting 'against' the proposal..." --page 5 of merger document. How many people do not vote for these things? For the merger to be approved Compaq has to overcome these votes against. Hmmmm.
