I am cautious about what brokers tout because (1)they act for their clients first, and the public information they divulge is generally dated, and (2)they don't want to look like fools, so they seldom take a strong stand.

In EDGAR, the proxies are described as "DEF 14A" and "PRE 14A". The definitive 14A should be included in the annual report mailing to shareholders.

Finally, as Rarebird mentioned, it's easy to justify a stock's trading price in hindsight. It's just as easy to think things will never change or to react in an extreme way to positive or negative information. Things look the worst at the bottom and best at the top. This is not trading advice one can act upon, though, since one never knows when things are "the worst" or "the best".
