Dear Cheryl: I think you are right-on about Carly, which is one of the reasons I (as a CPQ shareholder) am against the merger.

No matter how influential that ISS report is in getting HWP, "For," votes, I think CPQ is chomping at the bits that their shareholders will not approve the merger. Besides the original proxy materials, I received a second, abbreviated version the beginning of last week. Last Wednesday, some fellow from a company (can't remember the names) called to make sure I had received the secondary mailings and to strong-arm me into casting my votes with him. I said no, that I hadn't even had time to open either set of materials yet, having been away since July. He still wanted me to vote!?

Less than 30 minutes ago I received _another_ call, this time from some woman, "On behalf of the CPQ BOD." Again, emphasis on the importance of voting [since shares not voted get counted as 'against'] and pressure to vote through her. Once more, I said I would not cast my votes during our conversation.

This grasping for votes is truly amazing. I have been through a LOT of buy-outs and mergers over the years, and this is the first time I have received telephone calls trying to get me to vote.
