Ken says: "Why don't we buy them out,then? <grin>" Poison pill... If my poor medical brain understands things right, the Board of Directors can greatly dilute the stock as soon as anybody buys more than 15% of the outstanding shares. The poison pill authorizes distribution of one additional share to each stockholder for each share he holds. Excepting, of course, the guy who is trying to do the hostile takeover. So his (say ) 50% of the outstanding shares suddenly becomes 33%. Very clever. Dr. P.
