First Data Announces 2-for-1 Stock Split; Action Contingent Upon Shareholder Approval of Share Increase Authorization

DENVER, March 7 /PRNewswire-FirstCall/ -- The Board of Directors of First Data Corp. (NYSE: FDC), a global leader in electronic commerce and payment services, has approved a 2-for-1 split of the Company's common stock (par value $0.01) to be effected in the form of a stock dividend. As the Company currently does not have enough authorized shares of common stock to effect a 2-for-1 split, the split is contingent upon shareholders approving an increase in the number of authorized shares of First Data common stock at the May 8, 2002 annual meeting of shareholders.

The Board of Directors established a May 20, 2002 record date and a June 4, 2002 distribution date for the stock split. If shareholders of First Data approve the increase in the number of authorized shares at the May 8 meeting, shareholders of record on the record date will receive one share of the Company's common stock for each share owned.

``This action allows us to move our stock price closer to the median trading price of NYSE-traded companies,'' said Charlie Fote, president and CEO of First Data. ``It follows a significant upward movement in our share price over the past several months.''
