I believe the Canadian shareholders can receive shares of another Canadian company tax free under Section 85 of the Act. No tax until GLG is sold. ExplorCo is going to be interesting and its existence is probably what did the deal for Randy. That's what I meant when I said do we buy more Randy? The question for ExplorCo coming out of the shoot is that since it's bundled in the deal the arb's and institutions who are now buying FGX to get the GLG position will also own ExplorCo, which probably won't be considered by them as a core holding. I think there may be several million or so of ExplorCo shares for sale soon after closing. Can this thread mop up this float? How big a discount from cash will it trade at due to this structural problem already built into the deal?
