That are some interesting issues, aren't there? Are they a limited liability partnership in all states? or just in the state where they are formed? Unlike corporate limited liability which is recognized by all the states, and entities such as subchapter s corps which are creatures of federal law, do all states recognize llp's? And what if the suit is filed in one of those states? And does the llp protect higher levels of liability such as intentional fraud?
