Razmig,

Would it be possibly to structure the investment pools as unit investment trusts, so that each unit is limited to no more than 99 investors? I have seen similar trusts in the entertainment industry (I believe it was Silver Screen Partners (?) I, II, III, and IV).

If I understand correctly, of the 99 investors, there are a maximum of 35 non-accredited investors and the remainder are accredited investors , including partners...correct?

I suspect it would be best to avoid SEC registration, but limiting the pool to 35 non-accredited investors would require substantially more than $10,000 per investor to get in the front door, don't you think?
