Pursuant to the Rights Offering, the Company will issue to the
registered holders of common shares of the Company at the close of
business, Toronto time, on March 1, 2002 (the "Record Date"),
rights to subscribe for units of the Company. Each unit consists
of one Common Share and one-half of one common share purchase
warrant, with each whole warrant entitling the holder thereof to
purchase one common share at a price of $3.00 per share at any
time prior to 5:00 p.m., Toronto time, on December 28, 2006. Each
registered holder will be entitled to one Right for each common
share held at the close of business on the Record Date. Each
eligible holder will be entitled to subscribe for 0.656 of a unit
for every Right held, at a subscription price of $1.26 per unit.
The Company anticipates mailing the prospectus relating to the
Rights to registered eligible shareholders on March 5, 2002. The
rights will trade on The Toronto Stock Exchange until 12:00 noon,
Toronto time, on March 27, 2002, and will expire at 4:00 p.m.,
Toronto time, on the same date.
