Ah - that makes things much clearer. Guess I should have read the S-1 to begin with.

I suspect that Hutchens did indeed sign on behalf of both parties - at the time of the agreement he was the principal shareholder of CTI as well as of MAS.

Note that this disagreement has been brewing for quite a while - from their very first S-1 filing:

We have received a letter from Molecular Analytical Systems expressing non-specific concerns that we are using the licensed technology in a manner that it claims exceeds the scope of the sublicense grants. Molecular Analytical Systems makes a further non-specific claim that we are misrepresenting the scope of our rights to third parties. We believe that this matter can be resolved satisfactorily.

Note that because Hutchens was on multiple sides of these agreements, CIPH gets some extra legal arguments that they seem to be taking advantage of.
