In california, the board members are selected by what is called cumulative voting. This may mean that the family trusts have a power to elect walter to the board, no matter how you vote.

I have not made the math calculation; but, basically if there are 10 seats on the board, someone controlling 10.1% can elcet one board member, no matter how anyone else votes.
