NEW ORLEANS & DALLAS--(BUSINESS WIRE)--March 14, 2002--Billy Robinson, CEO of Proxity Digital Networks, Inc. (Pink Sheets: PDNW - news), announced today that Media Fusion, LLC and Proxity Digital Networks (PDNW) entered into a letter of intent to develop, deploy, and manage Advanced Sub-Carrier Modulation(TM) (ASCM), a magnetic resonance field based communications technology. Proxity's CEO, Billy Robinson says, ``We are excited about the opportunity to work with innovative technology, ASCM and scientist/inventor Mr. Luke Stewart.''

The agreement is already gaining favor with potential strategic partners and has raised global interests. ``We at Media Fusion have always been focused toward developing inexpensive ultra-high bandwidth communications for the wired world,'' says William ``Luke'' Stewart, Chairman and Chief Executive of Media Fusion. ``We are pleased with this venture and with the added leadership of Proxity.''

The new venture between the two companies, called Proxity Media Ventures LLC, is committed to provide funding for Stewart's development team and licensing support to companies already pledged to develop reliable power line communications (PLC) infrastructures and next generation consumer electronics.
