"I don't believe AMD's technical contributions would merit 50% ownership since it would seem this would be primarily process related"

While I suspect that AMD will have to make some sort of payment for their half of the fab, there is reason to strongly suspect that AMD's process contribution will be quite valuable to UMC. For one, AMD should have a great deal of expertise in SOI. And two, AMD can provide valuable IP for logic designs aimed at system on chip. Especially at the 65nm node, system on chip designs will be very important to the foundry fabs. Remember that AMD now has expertise in processors, flash, they have the Alchemy IP and they are working on wireless. If AMD then develops and tunes their stuff for the JV fab, especially if they can integrate it all on a single chip, it would be wonderful technology for UMC to offer. UMC would get wafer starts, AMD would get some royalties and the customer would get a very competitive, low power product. Sounds like a win all the way around...
