H-P's Fiorina Got $1 Million Salary, Options on 1 Million Shares in Fiscal 2001

WASHINGTON -- Hewlett-Packard Co . (HWP) Chairman and Chief Executive Carly Fiorina was paid a $1 million salary and received options on one million shares for the year ended Oct. 31, 2001 , according to a proxy statement filed Thursday with the Securities and Exchange Commission.
Ms. Fiorina's salary remained the same from fiscal 2000, but her option grant fell from 1.3 million shares in 2000 to one million. She received no bonus in 2001, compared with a $1.8 million bonus in 2000.
According to the filing, Ms. Fiorina received no bonus in 2001 because of a failure to meet performance objectives.
Ms. Fiorina's "other annual compensation" fell to $74,811 in 2001 from $205, 113 in 2000, and "other compensation" fell to $173,262 in 2001 from $755,266 in 2000.
The company estimated the "grant date present value" of Ms. Fiorina's 2001 option grant, using a modified Black-Scholes model, at $13.5 million. The million-share grant has an exercise price of $35.13 and an expiration date of November 2010 . |
