The problem is of course, that even if Walter is successful in reversing (let alone just not counting) the 17MM Deutschbank votes, the 45MM margin is sufficient to win the day.

This leaves his second count, which is some sort of shareholder fraud theory count, that he has which the court keeps referring to as violation of the share holder franchise.

I assume, without having read Walter's brief that he is arguing that there was so much fraud in the estimates of the value of the combined companies so as to taint the vote so badly that it can not be literally called a vote.

I think the court referred to this argument as something like, "remote".
