Brooks, PRI move forward with merger after U.S. review ends

CHELMSFORD, Mass. -- Brooks Automation Inc. and PRI Automation Inc. today announced that their merger plans are proceeding ahead after the U.S. Department of Justice completed its review of the pending transaction. Brooks is acquiring PRI with stock to create the world's largest fab automation supplier with annual revenues over $700 million (see recent profile story on the merger).

Also today, Brooks posted a 5% sequential decline in revenues to $58.3 million in the company's second fiscal quarter, ended March 31, compared to $61.5 million in the prior three-month period. The Chelmsford-based company had a net loss of $11.7 million in the second fiscal quarter, including acquisition-related charges and restructuring items. Excluding one-time items, Brooks' net loss was $8.7 million.
