I believe the restriction imposed on private placements are a matter of regulation. I don't think the company is free to sell an advertised private placement except to those who meet regulatory standards for being "sophisticated investors". The alternative of a rights offering, which could include all current shareholders, apparently is also hemmed in by regulatory issues, as I recall, by cross-border issues.

The question is: Does Pyng have buyers for the offering?
