NEW YORK (Dow Jones)--Hewlett-Packard Co. (HWP) said late Tuesday that it is "gratified" by the Delaware court ruling in a lawsuit aimed at derailing the merger of H-P and Compaq Computer Corp. (CPQ).

In a brief statement H-P said the decision "speaks for itself" and the company looks forward "to the opportunity to move on."

Earlier Tuesday Delaware Chancery Court Judge William Chandler III ruled that the plaintiffs "failed to prove that H-P management improperly enticed or coerced Deutsche Bank into voting in favor of the merger." The judge also ruled that Hewlett's side "failed to prove that H-P disseminated materially false information about its integrating efforts or about financial data provided to its shareholders."

Last month Walter Hewlett, son of one of the company's late co-founders and the sole former board member to oppose the merger of Compaq and H-P, launched a lawsuit in Delaware court to stop the merger from going through.

Hewlett alleged H-P improperly induced Deutsche Bank AG's Deutsche Asset Management unit to switch votes in favor of the deal and accused H-P of making false and misleading statements about the progress of its integration work weeks before the vote.

In a prepared statement following the court's ruling, Hewlett said his camp is reviewing the written opinion and will then decide on a course of action.
